Governing Law

These Terms of Use ("Terms") are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

These Terms are published by Charemm Ltd, a company registered in England and Wales, trading as AMPD ("we", "us", "our", or "AMPD").

Overview

AMPD is an AI Marketing Performance Dashboard that analyses and scores brand visibility across AI-powered platforms including ChatGPT, Perplexity, Claude, Gemini, Copilot, Grok, and DeepSeek. By accessing or using our website, tools, or services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to update these Terms at any time. Continued use of the Service following any changes constitutes your acceptance of the revised Terms. We will make reasonable efforts to notify registered users of material changes via email or in-app notification.

Conditions for All Users

Third-Party Agency Use

If you are using AMPD on behalf of a third party, such as a client or employer ("Agency Use"), you represent and warrant that you have the authority to bind the third party to these Terms. You are responsible for ensuring that the third party complies with these Terms, and you remain jointly and severally liable for any breach. Agency Use does not entitle you to share login credentials. Each user account is for a single individual, and separate subscriptions must be obtained where required.

Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Attempting to reverse-engineer, decompile, or disassemble any part of the Service, its algorithms, or scoring methodologies.
  • Using automated tools, bots, scrapers, or similar technologies to access or extract data from the Service without our express written consent.
  • Reselling, sublicensing, or redistributing any data, reports, or outputs generated by the Service without prior written authorisation.
  • Using the Service for any unlawful purpose or in a manner that violates any applicable local, national, or international law or regulation.
  • Interfering with or disrupting the integrity or performance of the Service, including introducing viruses, malware, or other harmful code.
  • Impersonating any person or entity, or falsely stating or misrepresenting your affiliation with any person or entity.

User Content Licensing

By submitting content to the Service—including brand names, domains, keywords, competitor lists, and any other data ("User Content")—you grant AMPD a non-exclusive, worldwide, royalty-free licence to use, process, and analyse such User Content solely for the purpose of providing and improving the Service. You retain all ownership rights in your User Content.

We may use aggregated, anonymised data derived from User Content for research, benchmarking, and product improvement. Such aggregated data will not identify you or your brand.

Subscriber Terms

Paid subscriptions ("Plans") are billed in advance on a monthly or annual basis, depending on the Plan selected. All prices are displayed in your local currency where available and are inclusive of applicable taxes unless stated otherwise.

Cancellation: You may cancel your subscription at any time through your account settings or by contacting us at hello@ampdaxo.com. Cancellation takes effect at the end of the current billing period. You will continue to have access to your Plan features until the end of the period for which you have already paid.

Refunds: We do not offer refunds for partial billing periods. If you cancel during a billing cycle, you will not receive a pro-rated refund for the unused portion. In exceptional circumstances, refund requests may be considered at our sole discretion. Annual subscriptions cancelled within the first 14 days may be eligible for a full refund, provided the Service has not been materially used during that period.

Plan Changes: Upgrades take effect immediately, and you will be charged the pro-rated difference for the remainder of the current billing period. Downgrades take effect at the start of the next billing period.

Service Limitations

AMPD provides AI visibility scores, recommendations, and analysis based on proprietary algorithms and publicly available data. While we strive for accuracy, the Service is provided on an "as is" and "as available" basis. We do not guarantee:

  • That the scores or recommendations will be error-free, complete, or current at all times.
  • Specific outcomes, rankings, or improvements in AI platform visibility as a result of using the Service.
  • Uninterrupted or secure access to the Service. We may suspend or discontinue the Service (or any part of it) at any time with reasonable notice.

AI platform algorithms and data sources change frequently and are outside our control. Visibility scores may fluctuate due to external factors unrelated to your actions or the quality of our Service.

Intellectual Property & Trademarks

All intellectual property rights in the Service, including but not limited to the software, algorithms, scoring methodologies, design, branding, content, and documentation, are owned by Charemm Ltd or its licensors. The AMPD name, logo, and related marks are trademarks of Charemm Ltd.

Nothing in these Terms grants you any right, title, or interest in the Service or our intellectual property, except for the limited right to use the Service in accordance with these Terms. You may not use our trademarks without our prior written consent.

AMPD Pixel & Tracking Technology Policy

1. Purpose

AMPD may provide Customers with access to tracking technologies, including but not limited to pixels, tags, scripts, APIs, server-side tracking, conversion tracking mechanisms, and other measurement technologies (collectively, the "AMPD Pixel").

The AMPD Pixel is used to measure, analyse and report on website traffic, user engagement, AI-generated referrals, content performance, conversion activity, product interactions, and other performance metrics relating to the Customer's digital presence.

2. Customer Responsibilities

The Customer is solely responsible for ensuring that the installation and use of the AMPD Pixel complies with all applicable laws, regulations and industry standards, including but not limited to:

  • UK GDPR;
  • EU GDPR;
  • PECR (Privacy and Electronic Communications Regulations);
  • CCPA/CPRA;
  • Any applicable consumer privacy, marketing, tracking, or data protection legislation.

The Customer shall obtain all necessary consents, permissions and notices required before deploying the AMPD Pixel on its websites, applications or digital properties.

3. Privacy Notices and Consent

The Customer must maintain an accurate and up-to-date Privacy Policy and Cookie Policy that clearly discloses:

  • The use of the AMPD Pixel;
  • The categories of information collected;
  • The purposes for which information is collected;
  • Any sharing of information with AMPD;
  • Any rights available to users under applicable privacy laws.

Where consent is required by law, the Customer shall ensure that appropriate consent mechanisms are implemented before the AMPD Pixel is activated.

4. Data Collected

The AMPD Pixel may collect and process information including:

  • Page visits and browsing activity;
  • Referral source information;
  • AI platform referral signals;
  • Product interaction events;
  • Transaction and conversion events;
  • Device, browser and operating system information;
  • Session and engagement metrics;
  • Marketing attribution data;
  • UTM and campaign tracking information;
  • Aggregated commerce and performance analytics.

The AMPD Pixel is not intended to collect special category personal data or sensitive personal information.

5. Data Ownership

The Customer retains ownership of all Customer Data collected through the AMPD Pixel.

The Customer grants AMPD a worldwide, non-exclusive licence to process, analyse and use such data solely for:

  • Delivering the Services;
  • Producing reports and insights;
  • Improving platform functionality;
  • Developing benchmarking and industry analytics.

6. Aggregated and Anonymised Data

AMPD may aggregate, anonymise and de-identify data collected through the AMPD Pixel.

AMPD shall own all rights, title and interest in such aggregated and anonymised datasets and may use such information for:

  • Platform improvement;
  • Product development;
  • Benchmarking;
  • Industry reporting;
  • Statistical analysis;
  • Research and development.

Such data shall not identify the Customer or any individual person.

7. Security

AMPD shall implement reasonable technical and organisational measures designed to protect data collected through the AMPD Pixel from unauthorised access, disclosure, alteration or destruction.

8. Third-Party Platforms

The Customer acknowledges that data collected through the AMPD Pixel may be combined with information received from third-party platforms, analytics services, commerce systems, content management systems, AI platforms, advertising platforms and marketplace integrations where authorised by the Customer.

9. Suspension or Removal

AMPD reserves the right to suspend, disable or require removal of the AMPD Pixel where:

  • Its use may violate applicable law;
  • Required consents have not been obtained;
  • The Customer breaches these Terms;
  • Continued operation creates legal, regulatory or security risks.

10. Limitation of Liability

The Customer acknowledges that compliance with privacy, cookie and consent requirements remains the Customer's responsibility.

AMPD shall not be liable for any claims, penalties, fines, investigations or losses arising from the Customer's failure to obtain appropriate consent, provide required notices, or comply with applicable privacy laws.

11. Proprietary Metrics and Derived Intellectual Property

AMPD may use data collected through the AMPD Pixel, alongside data from other sources within the Service, to calculate and derive proprietary metrics, including but not limited to:

  • Citation Position Score (CPS);
  • Citation Frequency Index (CFI);
  • Share of AI Voice (SAV);
  • AI-Attributed Traffic (AAT);
  • Any successor, derivative or related metric developed by AMPD from time to time.

While the underlying Customer Data remains the property of the Customer in accordance with clause 5 above, all rights, title and interest in the proprietary metrics themselves, the methodologies used to calculate them, the algorithms, scoring rubrics, weightings, benchmarks, and any output datasets derived from them, are owned exclusively by Charemm Ltd. The Customer is granted a non-exclusive, non-transferable licence to view and use such metrics solely in connection with the Customer's use of the Service. No right is granted to reverse engineer, replicate, resell or create derivative works from these metrics or methodologies.

Indemnification

You agree to indemnify, defend, and hold harmless Charemm Ltd, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

Limitation of Liability

To the maximum extent permitted by law, Charemm Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the Service.

Our total aggregate liability to you for all claims arising out of or relating to the Service shall not exceed the total amount paid by you to AMPD in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
